Terms of Service
In this document we refer to our services, technologies and Site collectively as the "Services". For convenience, we also use the following defined terms: "Listing" means a Venue that is listed by a Venue Owner for rental via the Services; "Member" means a person who completes the account registration process to rent a Venue as contemplated herein; and "Venue Manager" means a user of the Services who registers with Speakeasy to create a Listing for Venues.
By accessing or using our Services, you agree to be bound to all of the terms and conditions described in these Terms. If you do not agree to all of these terms and conditions, do not use our Services.
Here are some definitions for reading these terms.
Please read these terms of service carefully ("The Terms") - they are a legal contract between you and Blind Tiger Republic, Inc. ("Speakeasy") which govern your use of www.speakeasy.is (the "Site") and Speakeasy's online listing and booking platform for event venues ("Venues") via the Site.
Hi, we're Speakeasy! By using our site, you agree to all the terms below.
The "services" are an online platform for event listing and event discovery. You acknowledge and understand that Speakeasy connects event venues and event organizers. However, we are not party to any agreement between venues and event organizers. We are not responsible for the conduct of hosts, the conduct of venue owners or staff, event attendees, or any other party involved in the event. We disclaim all liability in this regard.
Your agreement is with the venue or event host, not with us.
Speakeasy, may, at its sole discretion, modify the Terms, at any time and without prior notice. If we do so, we will let you know either by posting the modified Customer Terms on the Site. It's important that you review the new Terms whenever we revise them because if you continue to use the Services after we post modified Customer Terms you are indicating to us that you agree to be bound by the revised Customer Terms. Because our Services change from time to time, if the revised Customer Terms are not acceptable to you, you must stop using the Services. We may change or discontinue all or part of the Services, at any time, without notice to you, at our sole discretion.
We can make changes to this agreement. We'll do our best to inform you.
How Speakeasy Works: Our Services are for the purpose of facilitating the listing and booking of event venues. Event Venues are made available via the Service by Venue Owners. Venue Owners are also responsible for responding with quotes, allowing you to take venue tours, and answering your questions.
Speakeasy operates an online platform for Venue Owners and Event Organizers to connect for the purpose of listing and booking Venues. Speakeasy does not own or operate any venues. Instead, Speakeasy's role is only facilitating a transaction between Venue Owners and Event Organizers. Venue Owners are independent contractors. Speakeasy is not responsible for and disclaims all liability related to the actions of Venue Owners, Members, third parties and other users of the Services.
We connect venue owners and event organizers. We are not responsible for anything that happens at your event.
Listing a venue on Speakeasy is free, but you agree to be bound by the terms in this agreement. If you list your venue on Speakeasy, you agree to allow Speakeasy to take 15% of the total value of the booking as a service fee. You authorize us to collect payment for the venue booking on your behalf, and then make that money available to you within 24 hours of the event end, or within 24 hours of payment being collected, depending on your preferences. If we send a lead to you, and you make arrangements with the host and complete a booking outside of our system, you must pay us 15% of the total value of the deal within 30 days.
Listing on our site is free. If you accept a booking that comes from us, we take a 15% commission.
The Services are intended solely for persons who are 18 or older. Any access to or use of the Services by anyone under 18 is expressly prohibited. By accessing or using the Services you represent and warrant that you are 18 or older.
You Must be 18 to use this site.
When creating an Account, you will be required to provide certain information and you will establish a username and a password. You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete. We reserve the right to suspend or terminate your Account if any data provided during the signup process or thereafter proves to be inaccurate, false or misleading. You are responsible for maintaining control of your username and password. You are wholly responsible for activities that occur under your Account.
Please make sure your account details are always accurate and up-to-date, and don't share your password.
The Venue Manager, not Speakeasy, is responsible for fulfilling Venue bookings, and making available any Venues reserved through the Services. It is the Venue Owner and not Speakeasy that determines the amounts due and payable by you to the Venue Owner for and related to a booking ("Booking Fee") and the possible fee range for booking a Venue provided in the Listing.
It's the venue's job to make sure the booking happens, not ours.
Booking a Venue. After you receive a response to your inquiry from Speakeasy, including a quote, you may contact Speakeasy to complete your booking. If the Venue is available Speakeasy will collect either a deposit as a percentage of the Booking Fee or a flat fee, or the entire Venue Booking Fee, on behalf of the Venue Owner at the time of booking. Where a Deposit is required, the remaining balance of the Venue Booking Fee will be collected by Speakeasy on behalf of the Venue Owner on the due date that the Venue Owner specified, and Speakeasy will automatically charge the remaining balance amount via the same credit card used for the Deposit (unless you notify us in advance of the charge that you wish to use an alternative method of payment for the remaining balance).
We will collect either a deposit or the full amount from your payment method, depending on the venue's rules.
Along with your booking, you'll be asked for billing information such as name, billing address and credit card information either to Speakeasy or Balanced, its third party payment processor. You agree to pay Speakeasy for any bookings made in connection with your Account in accordance with these Customer Terms and you hereby authorize the collection of such amounts on behalf of the Venue Manager by charging the credit card provided as part of making the booking, either directly by Speakeasy or indirectly. If you are directed to Balanced, Speakeasy's third party payment processor, you may be subject to terms and conditions governing use of that third party's service.
We will ask you for credit card information to complete a booking. Sometimes you may have to give more info to our payment processor.
Speakeasy reserves the right to obtain a pre-authorization via your credit card for the Deposit amount. Once Speakeasy receives confirmation of your booking from the applicable Venue Owner, Speakeasy will collect the Deposit as well as the remaining balance, if applicable, in accordance with the these Terms. Once your booking transaction is complete, you will receive a confirmation email summarizing your booking and a copy of such confirmation will be available for your records.
We may place a hold on your card for deposits and bookings.
If you decide to book a Venue on Speakeasy, you may be required to enter into a written agreement with the Venue Owner. You agree that you will accept any terms, conditions and restrictions, written or oral, associated with such Venue imposed by the Venue Manager. You acknowledge and agree that you, and not Speakeasy, will be responsible for meeting the conditions of any such agreements, and Speakeasy is not a party to such agreements or terms, conditions and restrictions and disclaims all liability.
You may have to sign a contract with the venue owner.
Speakeasy does not carry any insurance for bookings made or Venues featured on the Services. Accordingly, you agree that it is your sole responsibility to obtain any insurance as required by law or otherwise related to your booking of a Venue.
You may be required to get insurance for a venue that you book.
You agree to indemnify and hold harmless Speakeasy and its officers, directors, employees and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees (including costs of defense of litigation by third parties), arising out of, or in any way connected with: (a) your access to or use of the Services or Site or your violation of these Customer Terms; (b) your Member Content; and (c) your (i) interaction with any Member or Venue Owner.
We are not responsible for anything.
Intellectual property laws protect the Services and Speakeasy Content. Except as expressly provided in these Terms, Speakeasy and its licensors own all rights in the Services and Speakeasy Content. Speakeasy has no ownership rights in Member Content. You agree that you have no right to, or title in or to, any Site Content (except for the Member Content that you provide) or any other attributes associated with your Account.
We do not own anything you upload, and are not responsible for it. You do not own any content on the site that you did not upload.
Please note that change and cancellation procedures and penalties for bookings vary depending on the policies of the applicable Venue Manager. Speakeasy has no responsibility or liability in regards to cancellation policies. You agree that you will accept any terms, conditions and restrictions associated with any Venue imposed by the Venue Owner, including, but not limited to, any change or cancellation fees. If a Venue Owner cancels a booking, please contact Speakeasy at email@example.com and Speakeasy will address your request, in its sole discretion. Please note that Speakeasy is not responsible for resolving any disputes or processing any changes to or cancellations of bookings, and disclaims any and all liability in this regard. If you cancel a booking of a Venue, Speakeasy will not refund any service fees charged by Speakeasy to a Venue Owner for such booking.
Cancellations are at the sole discretion of the venue manager, not Speakeasy.
New York Law Governs. These Customer Terms and any disputes related to them or to your use of the Services will be governed by the laws of the State of New York without regard to its conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods will not apply in any way to these Customer Terms or to the transactions contemplated by these Customer Terms.
Our choice of law is that of New York, the state we are incorporated in.
These Customer Terms constitute the entire and exclusive understanding and agreement between Speakeasy and you regarding the Services and Site Content, and any bookings of Venues made via the Services, and supersede and replace any and all prior oral or written understandings or agreements between Speakeasy and you regarding the Services and Site Content.
